Terms of Service

By accessing or using Ghalalytics ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms apply to all users, including account administrators and team members added by an account administrator.

Ghalalytics is a cloud-based warehouse management platform ("WMS") providing inventory tracking, dispatch management, purchase order management, reporting, and related features with offline-first synchronisation capabilities. We reserve the right to modify, suspend or discontinue any part of the Service with reasonable notice.

You must provide accurate and complete registration information and keep it up-to-date. You are responsible for all activity that occurs under your account. You must not share your login credentials. You must notify us immediately of any unauthorised access to your account.

One natural person or legal entity may not create multiple free trial accounts. Accounts found to be abusing free trials may be terminated without notice.

Certain features require a paid subscription. By subscribing, you authorise us to charge your payment method on a recurring basis according to the plan you selected. All fees are stated in US dollars and are exclusive of applicable taxes unless stated otherwise.

Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period. Refunds are available for annual plans cancelled within 14 days of the start of a new billing cycle, subject to pro-rata deductions for usage.

You retain full ownership of all business data (inventory records, purchase orders, supplier information, etc.) you create or upload to the Service ("Customer Data"). You grant Ghalalytics a limited licence to store, process and display Customer Data solely to provide the Service.

You are responsible for ensuring your Customer Data does not violate any applicable laws or third-party rights. We will not access Customer Data except to provide the Service, resolve support requests, comply with legal obligations, or enforce these Terms.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to reverse-engineer, decompile or disassemble any part of the Service.
• Access the Service through automated means (bots, scrapers) without prior written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Share your subscription with users outside your organisation.

The Service, including all software, design, text, graphics, and other content created by Ghalalytics, is owned by Ghalalytics and is protected by intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property to you.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GHALALYTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

You may cancel your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if we reasonably believe your use poses a security risk. On termination, your right to use the Service ceases immediately. You may export your Customer Data at any time before termination.

These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved by the courts of Nairobi, Kenya, unless you are based in the EU, in which case mandatory local consumer protection laws apply.

We may update these Terms from time to time. We will give at least 14 days' notice of material changes by email and in-app notification. Continued use of the Service after the effective date constitutes acceptance. If you do not accept the new terms, you must stop using the Service and cancel your subscription.
